These Terms of Service ("Terms") govern the use of dispatch services provided by One Ten Freight Solutions LLC ("Company," "we," "us") to owner-operators and carriers ("Client," "you"). By engaging our services, you agree to these Terms.
The Company provides freight dispatch support, including load sourcing, rate negotiation, broker and shipper communication, rate confirmation review, route planning, carrier onboarding assistance, paperwork support, detention and layover follow-up, and related coordination services. The Company acts as a dispatch service on behalf of the Client and is not a motor carrier, broker, or freight forwarder.
The Client remains solely responsible for the safe and lawful operation of their vehicle(s), maintaining all required licenses, insurance, and authority (including but not limited to MC/DOT authority), and for the final decision to accept or decline any load presented by the Company.
Dispatch fees are agreed upon between the Company and the Client prior to the start of services and will be detailed in a separate service agreement or invoice. Fees are typically calculated as a percentage of the gross rate per load unless otherwise agreed in writing.
While the Company works to source loads and negotiate favorable rates, the Company does not guarantee the availability of loads, specific rates, or continuous work at any given time.
Nothing in these Terms creates an employment, partnership, or agency relationship between the Company and the Client beyond the specific dispatch services described here.
The Company shall not be liable for any indirect, incidental, or consequential damages arising from load delays, broker or shipper disputes, detention, cargo claims, or other matters outside the Company's direct control.
Either party may terminate the dispatch relationship at any time with written notice, subject to any outstanding fees owed for services already rendered.
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
